Welcome to Megatrix LLC (“we”, “Megatrix”, “our”, or “us”). These Terms of Service (“Terms”) govern your use of our website, products, and services (“Services”). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must stop using our Services immediately.

Information We Collect

You must be at least 18 years old and have the legal authority to enter into contracts to use our Services. By using our Services, you represent and warrant that you meet these eligibility requirements.

Services We Offer

At Megatrix, we provide solutions that help your business grow and succeed. Our services are designed to deliver results and streamline your operations. Here’s a quick overview of what we offer:
Custom websites and online stores built to drive sales and conversions on platforms like Go High Level, Shopify and WordPress.
Strategic ad campaigns on Google, Meta, and TikTok to bring in leads and boost ROI. Chatbots, voice agents, and AI business automations to reduce costs and enhance customer experiences.

User Accounts

To access some features of our Services, you may be required to create an account. You agree to provide accurate, complete, and up-to-date information. You are responsible for maintaining the confidentiality of your account information and are fully responsible for all activities that occur under your account.

Payment and Fees

We offer both fixed-price packages and custom pricing options based on the scope of work. Payment terms will be outlined in the proposal or contract for each project and will include the following:

Payment due dates

Payment methods: We accept credit cards, bank transfers, and, in some cases, cryptocurrencies.

Deposits or initial payments: We require an initial payment of 30% of the total project cost before starting any work. Services will not commence until this initial payment is received.

Ongoing payments: For ongoing projects, the first month’s payment will include 30% of the total monthly project fee. When the next payment is due, you will pay the remaining 70% for the first month plus 30% for the following month. This cycle will continue for the duration of the project.

Late payment penalties: Payments must be made by the due date. A late fee of 3% of the total outstanding amount will be applied for any late payments.

Payment confirmation: The client is responsible for sending a transaction completion notification along with a screenshot as proof of payment to ensure timely processing.

Failure to make payments on time may result in the suspension of services.

Contract and Scope of Work

Upon agreeing to our Services, we will provide a detailed contract outlining the following:

Project scope and deliverables

Timelines and milestones

Payment terms and schedule

Client responsibilities

Intellectual property rights

Confidentiality agreement

Termination clause

Changes to Scope

If additional work is required outside the original scope of the contract, a new agreement or amendment will be created. We will outline the additional costs and revised deadlines before proceeding with any changes.

Data Cancellation and Termination

Client Cancellation: You may cancel our Services at any time by giving 15-days written notice. However, all outstanding fees for delivered Services must be paid in full prior to cancellation.
Company Cancellation: We reserve the right to terminate your use of the Services if you:

Fail to make timely payments

Engage in unethical or illegal activities

Fail to provide necessary cooperation or materials

Abuse our Services

Upon termination, all outstanding fees for Services delivered will still be due.

Refunds

Refunds will only be issued in the following circumstances:

We fail to deliver the agreed-upon Services within the specified timeline

Dissatisfaction with the quality of work, provided this is communicated and agreed upon during the project

Refunds will be processed via bank transfer. We will not be obligated to refund if the client fails to provide necessary materials, engages in unethical practices, or cancels after the completion of the project.

Referral Program

We offer a Referral Program to reward clients who refer new customers to us. Clients who refer a new customer can choose to:

Receive up to 30% of the new customer’s first payment, OR

Receive 3% of the new customer’s payments for the first 12 months

The referred client must contact us through our referral program email: referral-program@megatrix.io, mentioning your full name and address for the referral to be valid.

Support and Maintenance

Upon completion of a project, we offer ongoing support and maintenance for an additional fee. This includes updates, troubleshooting, and optimizations of the systems or websites we build for you. Our standard response time for support requests is 12 hours, but priority support can be arranged under a separate contract. Please note that issues caused by third-party changes or outside your contract scope may incur additional costs.

Client Responsibilities

Clients are required to:

Provide necessary information, materials, and feedback in a timely manner.

Ensure compliance with applicable laws and regulations in their respective industries.

Adhere to the project timelines to avoid delays

Data Privacy and Protection

We take your data privacy and protection seriously. Any personal information or business data shared with us during the course of providing Services will be handled in compliance with applicable data protection regulations, including GDPR and CCPA. We use secure systems and processes to ensure the confidentiality of your data and will not share, sell, or misuse your information in any way. Meetings and No-Show Policy

Meetings will be conducted at scheduled times. If the client fails to show up for a meeting without prior notice, the meeting will be canceled. Rescheduling will be based on our team’s availability.

Intellectual Property

Unless otherwise agreed upon in writing, all work created by us for you, including websites, marketing materials, and system designs, is owned by us until full payment is made. Upon receipt of full payment, ownership is transferred to you, except for any third-party software or tools used.

Intellectual Property for Third-Party Tools

Any third-party tools, plugins, or licensed software integrated into your project are subject to the respective third-party licensing terms. While ownership of the custom work created by us is transferred upon full payment, any third-party software or assets remain the property of their respective owners. If these tools require separate licensing or renewal fees, these will be the client’s responsibility unless otherwise agreed upon.

Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information disclosed during the course of working together, including but not limited to:

Business strategies

Client lists

Financial information

Project-specific data

Confidentiality obligations continue even after the termination of the contract.

Warranties and Disclaimers

We warrant that the Services provided will be performed professionally and with reasonable care. However, we do not guarantee specific results such as increased revenue, traffic, or rankings unless explicitly stated in the contract.

The systems and solutions we develop are designed to bring you more revenue, but we do not guarantee financial results. Any harm caused by AI tools like chatbots is not covered by us, and may be the responsibility of the AI provider.

We disclaim all warranties not expressly stated here, including warranties of merchantability or fitness for a particular purpose.

Limitation of Liability

We are not liable for:

Indirect, incidental, or consequential damages

Loss of revenue, profits, or data

Any claims exceeding the amount paid for the Services provided

AI and Automation Liability

While we implement AI and automation systems to enhance your business operations, we cannot guarantee that these systems will perform without error or issue. Any harm or damage caused by the malfunction or improper operation of third-party AI tools (e.g., chatbots, automation platforms) will not be our responsibility and may be subject to the AI provider’s terms and conditions. We advise caution in relying solely on AI-driven decisions and recommend regular oversight to mitigate risks.

Indemnification

You agree to indemnify and hold us harmless from any claims, liabilities, damages, and expenses (including legal fees) arising out of your use of our Services or any breach of these Terms.

Governing Law and Dispute Resolution

These Terms are governed by the laws of the Denver, Colorado, USA. Any disputes arising out of or related to these Terms will first be resolved through negotiation. If negotiation fails, disputes will be resolved in the courts located in the Denver, Colorado, USA.

Force Majeure

We are not responsible for delays or failures in performing our obligations due to events beyond our control, such as natural disasters, strikes, or technical issues.

Amendments to These Terms

We reserve the right to modify these Terms at any time. Any changes will be posted on this page with an updated “Effective Date.” It is your responsibility to review these Terms periodically.
